Shareholder Value Beteiligungen AG and other shareholders have sold a majority stake in listed SMT Scharf to Yankuang Energy Group, a subsidiary of Shandong Energy Group
SMT Scharf
SMT Scharf is a listed manufacturer of customized machinery for underground transport and the global market and technology leader in rail systems, which are used primarily in hard coal mines and in the underground mining of gold, platinum, copper, nickel and other raw materials. Headquartered in Hamm, Germany, SMT Scharf has established a unique track record and unmatched installed base. The company’s captivated railway systems transport a payload of 48 tons on lines with gradients of up to 35 degrees while adhering to the highest safety standards, including explosion protection. Furthermore, the product offering includes chairlifts for coal and mineral mining as well as high-performance rubber-tired vehicles.
The Deal
A group of 11 shareholders, consisting of several investment funds advised by Shareholder Value Management as a tied agent, have decided to sell their shares in SMT Scharf. The asset didn’t match the sellers’ environmental, social and governance guidelines anymore and thus the previous investors decided to find a new strategic owner to support its next growth phase. The investor consortium has sold a stake of around 53% of SMT Scharf’s share capital to Yankuang Energy Group, based in Shandong, China. Yankuang is based on the industries of mining, high-end chemicals and new materials, new energy, high-end equipment manufacturing and intelligent logistics. It is a large Chinese energy company that is part of the Shandong Energy Group listed on more than four major stock exchanges in China and beyond (Shanghai, Hong Kong, New York, Australia).
