RCR International has been sold to M-D Building Products and Lanart Rug
Lincoln International (“Lincoln”), a leading global mid-market investment bank, is pleased to announce that RCR International, Inc., based in Montreal, Canada, and its wholly owned U.S. subsidiary W.J. Dennis & Company (together “RCR”, or the “Company”) have sold their weatherstripping, hardware and seasonal and flooring trims businesses to M-D Building Products, Inc. (U.S.), a provider of weatherstripping products, and their flooring (non-flooring trims) inventory to Lanart Rug Inc. (Canada), a provider of area rugs, mats and other flooring products.
Founded in 1946, RCR is a provider of over 1,500 products, including weather stripping, insulation components, floor protection products, squeegees and other products for professionals and do-it-yourselfers. RCR possesses a more than 90% weatherstripping market share in Canada, with an initial foothold in the U.S. through W.J. Dennis. The Company’s products are sold under the brands Climaloc®, ComfortPlus®, Dennis®, PolarGrip® and Topsi® through leading retailers, such as RONA, Home Depot Canada, Lowe’s and Canadian Tire.
Lincoln acted as the exclusive financial advisor to RCR, and worked closely with the management team and various stakeholders throughout the sale process. The Lincoln team provided M&A, restructuring and industry expertise and closely managed all aspects of the process, including preparatory activities, deal marketing, due diligence and negotiations. Lincoln ran a broad auction process, under a tight timeline, to maximize value for the stakeholders after the Company filed for protection under the Companies’ Creditors Arrangement Act (“CCAA”). Lincoln maximized value for all stakeholders by successfully negotiating separate transactions for each business unit of RCR.
