Financing commitments secured in support of the spin-off of BCC Software, LLC

Lincoln International (“Lincoln”), a leading global mid-market investment bank, announced today the successful completion of a financing for BCC Software, LLC (“BCC”), which was spun-out of Bell and Howell, LLC (“Bell and Howell”), a portfolio company of Versa Capital Management, LLC (“Versa”). Versa now holds separate controlling majority interests in both Bell and Howell and BCC. BCC is a leading provider of postal software and data management solutions used primarily by direct marketers and mail service providers to cleanse, update and prepare name and address data.

Lincoln acted as Exclusive Placement Agent for and Co-Advisor to Bell and Howell and worked closely with BCC, Bell and Howell, and Versa on all aspects of the financing, helping to structure, arrange, and negotiate an undisclosed amount of debt financing. The debt financing consisted of a senior revolving credit facility and first lien term loan, both of which were provided by Monroe Capital Management Advisors, Inc. Proceeds from the transaction were used to finance the spin-off and provide for BCC’s ongoing working capital and capital expenditure requirements.
