Safran has sold Structil to Hexcel
Lincoln International (“Lincoln”), a leading global mid-market investment bank, is pleased to announce that Safran Ceramics (“Safran”), along with co-shareholder Mitsubishi Chemical Company, has sold all shares and voting rights in the company Structil (the “Company”) to Hexcel. Terms of the transaction were not disclosed.
Structil designs, produces and sells structural adhesives and high-performance carbon-fiber composite materials for aerospace and other high-tech industries. From structural adhesives notably used in engine nacelles, to prepreg carbon tapes used on aircraft wing panels and pultruded carbon profiles for industrial commercial use, Structil has leveraged its strong industrial know-how to offer a broad range of innovative and technical products. Structil has built entrenched relationships with a diversified portfolio of prestigious OEMs and Tier 1s mainly involved in aerospace and defence. The Company became part of Safran when the latter acquired SNPE’s energetic materials business in 2011 and recorded sales of 19 million euros in 2016. It has about 70 employees at its plant in Vert-Le-Petit, near Paris.
Pierre Bachelier-Iltis, M&A Director at Safran, said: “Lincoln decisively represented Safran and Mitsubishi Chemical Company by driving a successful strategic outcome through its senior-level attention, buyer knowledge and relationships, and international reach.”
After the disposal of Harris Aerostructures’ business and AIM Aerospace and several ongoing sell-side projects, the sale of Structil demonstrates Lincoln’s strong track record in the composites and aerospace markets.
Lincoln acted as the exclusive sell-side advisor to Safran and Mitsubishi Chemical Company, working closely with the Company’s management team and shareholders throughout the sale process. Lincoln’s assignment included mergers and acquisitions advisory expertise and managing the marketing, due diligence and negotiation phases of the engagement.
